Terms of Service

These Terms of Service ("Terms") govern your access to and use of Panery ("Panery," "we," "us," or "our"), including the website at https://www.panery.org, our web application, APIs, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. About the Service

Panery is a business-to-business software platform that helps organizations coordinate field operations, vendor relationships, product catalogs, orders, and settlement records. The Service is designed for operational teams—not for consumer retail checkout.

We provide tools for organization management, role-based workspaces, order lifecycle tracking, manual cash-on-delivery (COD) settlement workflows, optional marketplace discovery between organizations, and subscription billing for platform access. Features may change, expand, or be limited by plan, region, or technical availability.

2. Eligibility and Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to enter a binding contract. You represent that information you provide during registration is accurate and that you will keep it current.

You are responsible for safeguarding your credentials, for all activity under your account, and for enabling multi-factor authentication (MFA) when available. Notify us promptly at contact@panery.org if you suspect unauthorized access.

  • One person should not maintain multiple accounts to evade restrictions or abuse the Service.
  • You may not share login credentials except through features we explicitly provide (such as organization membership).
  • We may require email verification, CAPTCHA, or additional verification before granting access.

3. Account Types and Roles

When you register, you choose a permanent account type: Agent or Vendor. This choice is intended to be irreversible because it determines your default workspace, permissions, and how you interact with other organizations. Choose carefully before confirming.

Within an organization, additional roles may apply. An organization owner has administrative control over that organization, including membership, billing configuration where applicable, and organization termination. Owners use the Admin panel; agents and vendors use their respective panels. "Owner" is not a separate public account type at signup—it is a role assigned within an organization you create or control.

Agents

Agents typically manage operations on behalf of an organization: orders, vendor relationships, settlements, and internal coordination, subject to permissions granted by the organization.

Vendors

Vendors typically supply products or services to other organizations on the platform, maintain catalog and pricing information, fulfill orders, and participate in settlement workflows, subject to their permissions and agreements with counterparties.

4. Organizations and Membership

Organizations are separate workspaces on the Service. Data, settings, and billing may be scoped per organization. Inviting or removing members, assigning roles, and terminating an organization are actions performed by authorized members (typically the owner).

You are responsible for ensuring that people you invite are authorized to access your organization's data. We are not a party to your internal employment, agency, franchise, or commercial arrangements.

  • Organization termination may be scheduled with a grace period (currently 14 days) before permanent deletion of organization data, subject to technical and legal retention requirements.
  • Removing a member revokes their access to that organization; it does not necessarily delete their personal account.
  • If you leave or lose access to all organizations, you may still have a personal account subject to these Terms.

5. Orders, COD, and Settlements

The Service helps record and manage order statuses (for example: confirmed, accepted, ready, out for delivery, delivered) and manual COD settlement between organizations. Settlement on Panery is a record-keeping and approval workflow: vendors may upload proof (such as receipts), and agents may approve or reject settlements according to your organization's process.

Panery is not a bank, payment institution, escrow provider, or money transmitter for COD transactions between your organization and its counterparties. Physical collection, remittance, and reconciliation of cash or other offline payment occur outside the Service unless we explicitly introduce a different payment feature. You remain solely responsible for tax, invoicing, regulatory compliance, and disputes arising from real-world payments.

  • Order and settlement data on the platform reflects what users enter or upload; we do not guarantee accuracy, delivery performance, or payment completion between parties.
  • Uploaded receipts and attachments must be lawful, relevant, and free of malware; you grant us the rights needed to host and display them for the Service (see Section 8).
  • We may suspend features that facilitate fraud, abuse, or regulatory risk.

6. Marketplace and Third-Party Relationships

Where enabled, marketplace features may help organizations discover one another or initiate commercial relationships. Listings, pricing, and fulfillment terms are set by users, not by us.

Any contract, warranty, delivery obligation, or dispute between organizations is solely between those organizations. We do not endorse specific vendors or agents and are not responsible for their conduct, products, or services.

7. Subscriptions and Billing

Access to certain features may require a paid subscription. Prices, currencies (including INR where offered), billing intervals, and plan limits are shown at checkout or in your billing settings and may change with notice as required by law or your agreement.

Payments for subscriptions are processed by our payment partner Razorpay (or successors we designate). By subscribing, you also agree to applicable Razorpay and payment-network terms. We do not store full payment card numbers on our servers; tokenization and processing are handled by the payment provider.

Subscriptions renew automatically until cancelled. You may cancel according to in-product flows; cancellation stops future charges but does not entitle you to a refund for periods already billed unless required by law or stated in a specific offer. Failed payments may result in suspension of paid features after reasonable notice.

  • Payout or settlement details you provide for platform billing (where applicable) must be accurate and authorized.
  • Taxes, duties, and government charges may apply and are your responsibility unless we state otherwise.
  • Free trials or promotional credits, if offered, are subject to their stated terms.

8. Your Content and License

You retain ownership of content you submit (profile information, organization data, product catalogs, order notes, uploaded receipts, and similar materials) ("User Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and process User Content solely to operate, secure, improve, and support the Service, including backups and legal compliance.

You represent that you have all rights necessary to submit User Content and that it does not infringe third-party rights or violate law. We may remove or restrict User Content that violates these Terms or poses risk to the Service or others.

9. Acceptable Use

You agree not to misuse the Service. Prohibited conduct includes:

  • Violating applicable law, export controls, or sanctions.
  • Impersonation, fraud, phishing, or misrepresentation of identity or affiliation.
  • Uploading malware, scraping at scale without permission, or attempting to bypass security or rate limits.
  • Harassment, hate speech, or exploitation of minors.
  • Infringing intellectual property or privacy rights.
  • Using the Service to launder money, process illicit goods, or evade taxes or duties.
  • Reverse engineering or copying the Service except as permitted by law.
  • Interfering with other users' access or with our infrastructure.

10. Suspension, Termination, and Data Deletion

We may suspend or terminate access immediately if you materially breach these Terms, create security or legal risk, or if required by law. Where reasonable, we will provide notice and an opportunity to cure non-urgent issues.

You may disable your account or schedule permanent account deletion through account settings. Account deletion is typically scheduled with a 30-day grace period during which you may cancel the request; after that period, we delete or anonymize personal data subject to retention limits described in our Privacy Policy.

Organization owners may schedule organization termination with a grace period (currently 14 days). After execution, organization-scoped data may be permanently deleted except where retention is required for backups, fraud prevention, billing records, or legal obligations.

Provisions that by nature should survive (including limitations of liability, indemnity, and dispute terms) survive termination.

11. Our Intellectual Property

The Service, including software, design, trademarks, and documentation (excluding User Content), is owned by us or our licensors and protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to use the Service during your subscription or free access, in accordance with these Terms.

Feedback you provide may be used by us without obligation or compensation.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF DATA.

We do not warrant uninterrupted or error-free operation, that defects will be corrected, or that the Service will meet your business outcomes. Operational decisions you make using the Service remain your responsibility.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR AFFILIATES, OFFICERS, EMPLOYEES, OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US FOR THE SERVICE IN THAT PERIOD OR (B) INR 10,000, EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY APPLICABLE LAW (INCLUDING CERTAIN CONSUMER RIGHTS WHERE YOU QUALIFY).

COD disputes, delivery failures, tax penalties, and offline payment losses between organizations are not our liability.

14. Indemnity

You will defend, indemnify, and hold harmless us and our affiliates from claims, damages, losses, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, your violation of these Terms, or your dealings with other users or third parties (including orders, settlements, and marketplace activity).

15. Changes to the Service and Terms

We may modify the Service or these Terms. Material changes will be communicated by posting updated Terms with a revised "Last updated" date and, where appropriate, by email or in-product notice. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service and cancel subscriptions as applicable.

16. Governing Law and Disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles, except where mandatory local consumer protections apply in your country of residence.

Courts in India shall have exclusive jurisdiction over disputes arising from these Terms or the Service, unless applicable law requires otherwise. Before filing suit, you agree to contact us at contact@panery.org to attempt good-faith resolution within 30 days.

Nothing in this section limits either party's right to seek injunctive relief for misuse of intellectual property or security threats.

17. General

These Terms, together with our Privacy Policy and any order forms or plan-specific terms we present at checkout, constitute the entire agreement regarding the Service. If a provision is unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
